Terms of sale for the Relate plugin licence

1. Who is who

The licence is sold to you by SoundBerry S.r.l., VAT number IT04179710928, registered office at Via Palmiro Togliatti 78, 09028 Sestu (CA), Italy ("SoundBerry", "we"), which shows on its confirmation page the licence key issued and emailed by the Developer.

The payment is collected by Link, an affiliate of Stripe acting as merchant of record ("the Seller of the payment", shown as "Sold through Link" on the payment page), which applies the taxes due in your country, issues your receipt or invoice and executes refunds. The charge on your card statement shows LINK.COM* followed by "SoundBerry".

The plugin is developed and owned by Salvatore Versace (freelance professional), VAT number IT03390120735, Via Allodole 273, 74020 Leporano (TA), Italy ("the Developer"), who grants you the licence under its End User Licence Agreement (EULA), issues and sends the licence key and provides technical support.

2. What you are buying

A licence to use the software plugin Relate ("the Plugin"), major version 1.x, including the updates of that major version that the Developer releases, as set out in section 10 of the EULA. System requirements, supported hosts and formats are listed on the product page. A free trial is available so that you can check compatibility before buying.

3. Licence

  • Your use of the Plugin is governed by the Developer's EULA, available at https://salvatoreversace.com/legal/eula, which you accept by purchasing and which the installers also show. The licence is personal, perpetual and covers 2 computers at the same time; you can move it from one computer to another from inside the Plugin.
  • The licence key is issued and managed by the Developer. All intellectual property in the Plugin stays with the Developer. Nothing in these terms transfers it to you.
  • The licence lasts indefinitely unless it is revoked under section 7 or terminated under the EULA.

4. Price, taxes and payment

  • The price is shown net of VAT together with the price including Italian VAT; the VAT (or the equivalent tax) of your country is calculated at checkout, shown before you pay, and collected and remitted by Link. The checkout may present the amount in your local currency at the rate shown before confirmation.
  • Payment is made on the Stripe Checkout page with the payment methods offered there. The contract is concluded when the payment is confirmed. We send an order confirmation by email; the Developer sends the licence key.
  • Prices can change at any time. The price shown at checkout is the one you pay.

5. Delivery

  • The licence key is sent by the Developer from license@salvatoreversace.com to the email address you enter at checkout, normally within a few minutes of payment, together with the download links and the activation instructions. It is also shown on our confirmation page for 24 hours after purchase, in the browser you paid from.
  • If it does not arrive, check your spam folder, then write to support@salvatoreversace.com from the address used for the purchase.

6. Refunds and right of withdrawal

  • 14-day refund, for any reason. You may ask for a full refund within 14 days of purchase by writing to support@soundberry.ai with your order reference. No justification is needed. The refund is executed by Link to the payment method used for the purchase and takes a few business days to appear; Link sends you a confirmation.
  • Consumers in the EU and the UK may also cancel the purchase within 14 days from the date they receive access to the Plugin, as provided in Link's terms, by requesting a refund from Link's support at support.link.com.
  • Link also accepts refund requests within 60 days of purchase for the reasons listed in its refund policy (product not received; significantly not as described or unfit for purpose; damaged or corrupted; payment unauthorised or duplicated).
  • When a purchase is fully refunded, the licence key is revoked (section 7) and the Plugin returns to trial mode.

7. Revocation

A licence key is revoked by the Developer when the purchase is fully refunded, when a chargeback on the payment is lost, or, under section 12 of the EULA, when the licence is used in breach of the EULA. The Plugin learns of the revocation at its first online check, which happens when the Plugin's window is opened, no sooner than 14 days after the last successful check; a computer that stays offline does not receive it.

8. Support and updates

SoundBerry answers questions about orders and refunds at support@soundberry.ai; the Developer answers questions about the licence key, activation, updates and the Plugin at support@salvatoreversace.com; Link answers questions about payments and receipts at support.link.com.

9. Warranty and liability

  • The Plugin comes with the legal guarantee of conformity that applies to consumers in your country. Try the free trial before buying to check that it works with your system.
  • Software. The Plugin is software: like any software it may contain defects, and how it behaves depends on your computer, your host software and the other plugins you run. By purchasing you acknowledge this and you remain responsible for how you use the Plugin and for backing up your work: the Plugin runs inside your host software, and a crash can affect the whole session.
  • Consumers. If the Plugin does not conform to the contract, you have the remedies of the legal guarantee of conformity: a fix or an update from the Developer, a price reduction or a refund, as provided by the law of your country.
  • Business buyers. Our liability and the Developer's liability for any claim related to a purchase or to the use of the Plugin is limited to the price you paid for it, and neither of us is liable for indirect or consequential losses such as lost profits, lost or corrupted projects, data or recordings, or downtime.
  • Nothing in these terms limits liability for wilful misconduct, gross negligence, death or personal injury, or any liability that cannot be limited by law, and nothing limits your statutory rights as a consumer, including the legal guarantee of conformity.

10. Receipts and invoices

Link sends you a receipt or invoice by email after payment, with a PDF attached. Business buyers who need a document with their company details should write to support@soundberry.ai before purchasing.

11. Privacy

To process your order, your name, email address, billing address and payment details are collected on the checkout page and processed by Stripe and Link under their own privacy policies; SoundBerry receives your name, email address, billing address and order details to handle the sale. The Developer receives from SoundBerry your email address, your language and the order and payment references, to issue and send the licence key and provide support; the quarterly sales statement also shows the Developer your country and the amounts of your purchase and of any refund; and the Developer receives what you send to technical support.

Activating or moving the licence sends the email address and licence key you enter and a non-reversible (pseudonymous) fingerprint of the computer. The periodic licence check sends only a fragment of a hash of the key and the same fingerprint. The Plugin also downloads a public file to check for updates, sending no data. It never sends the computer's name and has no telemetry; as with any internet connection, the Developer's server receives your IP address, which is recorded with activations and deactivations to prevent abuse.

12. Governing law

These terms are governed by Italian law; the EULA is governed by its own terms. The payment transaction with Link is also subject to Link's terms shown at checkout. If you are a consumer, you also keep the protection of the mandatory rules of the country where you live, and you may bring a claim before the courts of that country.

13. Changes

We may update these terms. The version in force at the time of your purchase applies to that purchase; dated versions are kept at the address above.
